These Terms of Use (these "Terms") set forth the conditions for using "AnyLot," an OEM partner search platform provided by the AnyLot Operations Office ("we," "us," or "our").
Anyone who uses the Service ("User") must use the Service after agreeing to these Terms.
Article 1 (Agreement to These Terms)
- Users shall use the Service only after agreeing to these Terms.
- By actually using the Service, a User is deemed to have agreed to these Terms.
- If a User is a minor, the User shall use the Service with the consent of a parent, guardian, or other legal representative.
- If we separately establish individual terms, guidelines, policies, or other rules for the Service ("Individual Terms"), Users shall comply with those Individual Terms in addition to these Terms.
- If these Terms conflict with Individual Terms, the Individual Terms shall prevail only to the extent of that conflict.
Article 2 (Definitions)
The following terms have the meanings set forth below.
- "Service" means all websites, related functions, content, APIs, form integrations, and other services that we provide for searching, viewing, comparing, and making inquiries to OEM companies, manufacturing partners, and related service providers.
- "User" means any individual or entity that views or uses the Service.
- "OEM Company" means any manufacturer, OEM provider, ODM provider, processor, packaging provider, logistics provider, sales promotion support provider, or other business listed on the Service.
- "Listed Information" means company names, locations, descriptions, supported categories, service scope, MOQ, sample prices, lead times, certifications, strength tags, supported items, website URLs, and other information displayed on the Service.
- "Inquiry" means any consultation, quotation request, document request, manufacturing consultation, or other contact made by a User to an OEM Company through the Service or through an external form linked from the Service.
- "Submitted Data" means text, images, URLs, documents, inquiry details, company information, product information, and other data sent, entered, uploaded, or provided by Users or OEM Companies through the Service or an external form.
- "External Service" means Google Forms, Typeform, Google Sheets, analytics tools, email services, storage services, payment services, and other third-party services not provided by us.
Article 3 (Description of the Service)
- The Service supports Users in searching, viewing, comparing, and making inquiries to OEM Companies based on product categories, manufacturing conditions, MOQ, sample prices, lead times, service scope, certifications, and other conditions.
- In the MVP or initial phase, the Service may mainly provide browsing of product categories and subcategories, browsing of OEM Company listings, filtered supplier search, OEM Company detail pages, inquiry flows through external forms, and event measurement for service analysis and improvement.
- The Service does not guarantee contract execution, manufacturing outsourcing, sale and purchase, service contracts, works contracts, quality, delivery dates, payments, or any other transaction between Users and OEM Companies.
- We are not a party to contracts or transactions between Users and OEM Companies unless we expressly state otherwise.
- We may change, add, suspend, or terminate the content, functions, specifications, delivery methods, target categories, listed companies, display order, filter items, and other aspects of the Service at our discretion.
Article 4 (User Environment)
- Users shall prepare, at their own cost and responsibility, the devices, network environment, browsers, software, and other equipment necessary to use the Service.
- Users acknowledge that all or part of the Service may be unavailable due to their network environment, devices, browsers, External Services, or other User-side circumstances.
Article 5 (Registration and Accounts)
- In the initial phase, the Service may be available without login.
- If we later provide user registration, OEM Company dashboards, operations dashboards, chat, payment, or other features, we may separately establish registration procedures, identity verification, usage conditions, and Individual Terms.
- When creating an account, Users shall register truthful, accurate, and up-to-date information.
- Users shall manage their accounts, IDs, passwords, and similar credentials at their own responsibility and shall not allow third parties to use them, lend them, transfer them, change their name, sell them, or pledge them as collateral.
- Actions performed through a User account may be deemed actions of the User who holds that account, except where we are responsible.
Article 6 (Nature of Listed Information and No Warranty)
- Listed Information may include information provided by OEM Companies, public information, information independently organized or verified by us, or combinations of these.
- We do not warrant the accuracy, completeness, recency, usefulness, legality, fitness for a particular purpose, non-infringement, credibility of listed companies, manufacturing capability, quality, delivery dates, prices, certification status, legal compliance, or any other matter concerning Listed Information.
- MOQ, sample prices, mass-production prices, lead times, certifications, service scope, materials, categories, past results, and similar information are estimates or reference information, and actual conditions must be confirmed through inquiry, quotation, contract, or other communication with the OEM Company.
- When transacting with an OEM Company, Users shall confirm specifications, quality, prices, delivery dates, contract terms, legal compliance, intellectual property rights, labeling regulations, safety standards, import/export regulations, and other necessary matters at their own responsibility.
- Our liability for damages caused to Users or third parties by errors, omissions, delayed updates, display defects, or third-party information errors in Listed Information is limited as set forth in these Terms.
Article 7 (Inquiries and Sharing Information with OEM Companies)
- Users may make inquiries to OEM Companies through inquiry buttons on the Service, external forms, or other methods designated by us.
- In the initial phase, inquiries may be accepted through Google Forms, Typeform, or other External Services.
- Users agree that, when making an Inquiry, inquiry details, name, company name, brand name, email address, product outline, desired quantity, desired delivery timing, budget, reference URLs, reference images, and other form input may be reviewed by us and then shared with the target OEM Company.
- We may review inquiry details and request additional confirmation from the User as necessary.
- We may decline to share an Inquiry with an OEM Company if the inquiry is insufficient, inappropriate, false, potentially unlawful, unsuitable for sharing, or if the OEM Company has stopped accepting inquiries.
- We do not guarantee that an Inquiry will be shared with an OEM Company, that the OEM Company will respond, that a contract will be formed, or that the User's desired conditions will be achieved.
- Communications, negotiations, quotations, contracts, manufacturing, delivery, payments, returns, complaints, disputes, and all other transactions between Users and OEM Companies are conducted at the responsibility of the User and OEM Company.
- We may use inquiry-related information to review, classify, summarize, forward, operate, manage, improve quality, prevent fraud, and otherwise provide the Service.
- Personal information shall be handled in accordance with these Terms and our separately established privacy policy.
Article 8 (Use of External Services)
- The Service may integrate with external forms, analytics tools, storage, email services, payment services, and other External Services.
- When Users use External Services, the terms of use, privacy policies, and other conditions of those External Services may apply.
- We are not responsible for content, continuity, accuracy, security, availability, defects, outages, data loss, unauthorized access, or other events caused by External Services, except where we are responsible.
- We may change, add, suspend, or terminate External Services to the extent necessary for operating the Service.
Article 9 (User Information Obligations)
- Users shall provide truthful, accurate, complete, and up-to-date information when providing information through the Service or external forms.
- When providing third-party information, images, documents, product information, brand names, trademarks, copyrighted works, or other information, Users warrant that they have the necessary rights, permissions, or authority.
- If false, inaccurate, incomplete, outdated, or rights-infringing information provided by a User causes damage to us, an OEM Company, or a third party, the User shall compensate or indemnify such damage.
Article 10 (Information Provided by OEM Companies or Listing Applicants)
- OEM Companies and listing applicants warrant that company information, product information, images, logos, materials, URLs, and other information provided to us are truthful, accurate, lawful, and do not infringe third-party rights.
- OEM Companies and listing applicants shall promptly notify us of changes to Listed Information.
- We may determine, at our discretion, whether and when to list information, listing period, display order, display method, editing, summarization, translation, deletion, and other handling of Listed Information.
- If we determine that Listed Information violates or may violate these Terms, Individual Terms, laws, or our listing standards, we may suspend, correct, delete, or make it private without prior notice.
Article 11 (Prohibited Conduct)
Users shall not engage in the following conduct when using the Service.
- Violating laws, court judgments, decisions, orders, administrative measures, or public order and morals.
- Infringing intellectual property rights, reputation, credit, privacy, portrait rights, trade secrets, or other rights or interests of us, OEM Companies, other Users, or third parties.
- Entering, sending, posting, or distributing false, inaccurate, or misleading information.
- Impersonation, fictitious names, false company information, false inquiries, or other use of improper information.
- Inquiries without transaction intent, inquiries for sales-list collection, competitor research inquiries, nuisance inquiries, or other inquiries inconsistent with the purpose of the Service.
- Excessive demands, threats, defamation, harassment, or obstruction of business against us, OEM Companies, or third parties.
- Using the Service for purposes other than its intended purpose.
- Using information on the Service as sales lists, databases, comparison sites, search services, AI training data, or other commercial data without our prior consent.
- Obtaining, storing, copying, analyzing, or redistributing information on the Service by scraping, crawling, robots, bots, spiders, or other automated means.
- Unauthorized analysis, reverse engineering, alteration, or interference with APIs, communications, screens, data structures, or other aspects of the Service.
- Interfering with servers, networks, systems, External Services, or other Users' use.
- Sending or installing viruses, malware, unauthorized programs, or other harmful code.
- Improperly collecting, obtaining, disclosing, providing, or using personal information, inquiry information, Listed Information, sales information, or other information of us or third parties.
- Providing benefits to, cooperating with, or being involved with antisocial forces.
- Using the Service for money laundering, fraud, illegal transactions, inappropriate transactions involving regulated goods, or other unlawful or inappropriate transactions.
- Damaging our credit or brand.
- Encouraging, assisting, preparing, or inducing any of the foregoing.
- Any other conduct that we determine to be inappropriate.
Article 12 (Regulated Products and Legal Compliance)
- Users and OEM Companies shall comply, at their own responsibility, with applicable laws, industry standards, administrative guidance, and contractual obligations concerning product planning, manufacturing, labeling, advertising, import/export, sales, storage, delivery, quality control, certification, and related business activities.
- For cosmetics, quasi-drugs, foods, health foods, electrical appliances, toys, infant products, medical-related products, firefighting and disaster-prevention products, chemicals, animal products, and other potentially regulated products, Users and OEM Companies shall confirm necessary permits, notifications, labeling, advertising rules, safety standards, import/export rules, and other requirements.
- We do not warrant the legal compliance of products or services planned, manufactured, sold, imported, exported, or advertised by Users or OEM Companies.
- If we determine that there is unlawful or inappropriate use involving products, services, inquiries, Listed Information, or other matters, we may restrict use of the Service, decline inquiry sharing, suspend listings, delete information, or take other necessary measures.
Article 13 (Intellectual Property)
- All copyrights, trademarks, patents, design rights, know-how, databases, programs, screens, designs, logos, text, images, structure, UI, UX, and other intellectual property rights concerning the Service belong to us or legitimate third-party rights holders.
- Users shall not copy, reproduce, modify, adapt, publicly transmit, sell, publish, distribute, lend, analyze, database, or otherwise use the Service or content beyond ordinary use of the Service without our prior written consent.
- OEM Company names, logos, trademarks, product names, and other displays on the Service may belong to those OEM Companies or other legitimate rights holders.
Article 14 (License to Submitted Data)
- Users and OEM Companies warrant that they have the necessary rights, permissions, or authority for Submitted Data.
- Users and OEM Companies grant us a worldwide, free, non-exclusive, sublicensable, transferable, perpetual license to use Submitted Data for providing, listing, editing, summarizing, translating, sharing inquiries, operating, managing, improving quality, advertising, analyzing, improving functions, and developing future functions of the Service.
- The foregoing use includes copying, adaptation, editing, summarization, translation, format conversion, listing, distribution, storage, backup, statistical processing, machine processing, and other use necessary for operating the Service.
- We handle Submitted Data that includes personal information in accordance with our privacy policy and applicable laws.
- Users and OEM Companies shall not exercise moral rights concerning Submitted Data against us or persons who receive rights or licenses from us, to the extent permitted by law.
- This Article does not mean that copyrights in Submitted Data are transferred to us.
Article 15 (Review and Deletion of Content)
- We may review Submitted Data or Listed Information to the extent necessary for legal compliance, compliance with these Terms and Individual Terms, Service safety, listing quality, rights protection, fraud prevention, and other business needs.
- If we determine that Submitted Data or Listed Information violates or may violate these Terms, Individual Terms, laws, third-party rights, or our listing standards, we may make all or part of that information private, delete it, correct it, suspend listing, stop transmission, or take other necessary measures without prior notice.
- We have no obligation to constantly monitor Submitted Data or Listed Information.
- Users and OEM Companies shall back up Submitted Data at their own responsibility as necessary.
Article 16 (Prohibition on Data Acquisition and Scraping)
- Users shall not obtain, copy, store, analyze, reuse, or redistribute information on the Service by scraping, crawling, bots, robots, spiders, programs, unauthorized API use, or other automated means without our prior written consent.
- Users shall not use OEM Company information, category information, filter information, rankings, display order, inquiry flows, tags, search results, or other Service data for competing services, sales lists, databases, AI training data, comparison sites, lead sales, or other purposes we determine to be inappropriate.
- If we detect conduct that violates or may violate the foregoing, we may restrict access, suspend use, take legal action, or take other necessary measures.
Article 17 (Use Restrictions and Listing Suspension)
- If we determine that a User or OEM Company falls under any of the following, we may, without prior notice, restrict all or part of Service use, decline inquiry sharing, suspend listings, suspend accounts, delete data, or take other necessary measures: violation of these Terms or Individual Terms; violation of laws or public order and morals; provision of false, inaccurate, or misleading information; causing damage to us, OEM Companies, other Users, or third parties; involvement with antisocial forces; obstruction of Service operation; or other cases where we deem use or listing inappropriate.
- We are not responsible for damage caused to Users, OEM Companies, or third parties by measures under this Article, except where we are responsible.
Article 18 (Advertising and Promotions)
- We may display our own or third-party advertising, promotions, sponsored displays, listed company information, and other commercial displays on the Service.
- We do not warrant advertising or promotion content, linked destinations, product or service quality, legality, usefulness, accuracy, or other matters.
- Transactions with advertisers, listed companies, OEM Companies, and other third parties are conducted at the responsibility of the User and that third party.
Article 19 (Paid Functions, Points, Campaigns)
- In the MVP or initial phase, the Service may be provided free of charge.
- We may later provide paid functions, listing plans, advertising plans, points, campaigns, group purchasing, payment, or other functions.
- If such functions are provided, fees, payment terms, refund terms, point conditions, cancellation for misuse, campaign conditions, and other details may be established in Individual Terms or on the Service.
- Users shall not engage in improper registration, false information, fictitious inquiries, point-seeking misuse, campaign violations, or other inappropriate conduct.
- If we determine there is improper or inappropriate use, we may cancel all or part of points, benefits, campaign eligibility, listing authority, or other rights.
Article 20 (Exclusion of Antisocial Forces)
- Users and OEM Companies represent and warrant that they and their officers, employees, agents, beneficial owners, and related persons are not organized crime groups, members, quasi-members, antisocial forces, or equivalent persons ("Antisocial Forces").
- Users and OEM Companies shall not provide benefits to, lend names to, fund, accommodate, or otherwise be involved with Antisocial Forces.
- If we determine that a User or OEM Company violates or may violate this Article, we may suspend use, suspend listings, terminate contracts, or take other necessary measures without prior notice.
Article 21 (Changes, Interruption, and Termination)
- We may change, interrupt, suspend, or terminate all or part of the Service when conducting maintenance, inspection, or updates; when External Services, networks, cloud services, or similar infrastructure fail; when force majeure occurs, including natural disasters, infectious diseases, power outages, communication failures, war, riots, legal amendments, or administrative measures; when security issues occur or may occur; or when we deem it necessary for operational or business reasons.
- We are not responsible for damage caused to Users, OEM Companies, or third parties by changes, interruption, suspension, or termination under this Article, except where we are responsible.
Article 22 (Disclaimer of Warranties)
- We do not warrant that the Service, Listed Information, OEM Company information, inquiry flows, External Service integrations, search results, recommendations, display order, translations, summaries, AI functions, RAG functions, or any other information or function related to the Service is free from factual or legal defects.
- We do not warrant that the Service will fit a User's particular purpose, achieve expected results, be error-free or defect-free, secure, reliable, accurate, complete, current, useful, continuous, or non-infringing.
- We do not warrant any OEM Company's response, quotations, contracts, quality, delivery dates, prices, manufacturing capability, certifications, legal compliance, payment ability, creditworthiness, or other matters.
- We are not responsible for disputes, contract breaches, quality issues, delivery delays, payment troubles, intellectual property infringement, legal violations, or other issues between Users and OEM Companies, except where we expressly become involved separately.
Article 23 (Limitation of Liability)
- Except in cases of our intentional misconduct or gross negligence, we are not liable for special, indirect, incidental, consequential, or derivative damages, lost profits, data loss, lost business opportunities, reputational damage, or other damages beyond ordinary damages arising in connection with the Service.
- If we owe damages to a User or OEM Company, the scope is limited to ordinary damages actually and directly caused by a matter attributable to us.
- If the Service is provided free of charge, our damages liability is capped at JPY 10,000, except in cases of our intentional misconduct or gross negligence.
- If the Service is provided for a fee, our damages liability is capped at the total fees actually paid to us by the relevant User or OEM Company during the three months immediately preceding the month in which the damage occurred, except in cases of our intentional misconduct or gross negligence.
- This Article applies to the extent permitted by the Consumer Contract Act and other applicable laws.
Article 24 (User Indemnification)
Users and OEM Companies shall compensate or indemnify us, other Users, OEM Companies, and third parties for damages, losses, costs, claims, disputes, administrative responses, attorney fees, and other burdens arising from their use of the Service, Submitted Data, inquiries, Listed Information, transactions, legal violations, violations of these Terms, infringement of third-party rights, or other reasons attributable to them.
Article 25 (Handling of Personal Information)
- We handle Users' personal information in accordance with our separately established privacy policy.
- Users acknowledge that, when making inquiries through the Service or external forms, inquiry details and input information may be reviewed by us and provided to the target OEM Company.
- We may handle User information within the scope of purposes stated in the privacy policy, including Service operation, inquiry response, sharing with OEM Companies, usage analysis, service improvement, fraud prevention, and legal compliance.
- We do not provide personal information to third parties except where required by law, with User consent, through outsourcing within necessary scope, or otherwise permitted by law.
- When providing personal information to third parties, jointly using it, outsourcing handling, or providing it to third parties in foreign countries, we take necessary measures in accordance with applicable laws and the privacy policy.
Article 26 (Special Provisions for AI Functions)
- We may later provide AI-based functions, including category classification, OEM Company recommendations, inquiry draft generation, inquiry completeness checks, translation, summarization, and RAG search ("AI Functions").
- AI Function outputs are reference information, and we do not warrant their accuracy, completeness, recency, legality, fitness for a particular purpose, non-infringement, or any other matter.
- Users shall review AI Function outputs at their own responsibility and, as necessary, confirm them with experts, OEM Companies, administrative agencies, or other appropriate third parties.
- We may record and analyze AI Function inputs and outputs to the extent necessary for quality improvement, safety, fraud prevention, evaluation, log analysis, cost management, and Service operation.
- Users shall not input third-party confidential information, trade secrets, sensitive information, unnecessary personal information, or information prohibited by law or contract into AI Functions.
Article 27 (Notices and Communications)
- Notices from us to Users or OEM Companies are made by posting on the Service, sending to registered email addresses, displaying in dashboards, or other methods we deem appropriate.
- Communications from Users or OEM Companies to us shall be made through inquiry forms on the Service, email addresses designated by us, or other methods designated by us.
- If we send notice to registered email addresses or other contact information provided by a User or OEM Company, the notice is deemed to have arrived at the time it would normally arrive.
Article 28 (Changes to These Terms)
- We may change these Terms if the change conforms to the general interests of Users or OEM Companies, or if the change does not contradict the contractual purpose and is reasonable in light of the necessity of the change, appropriateness of the changed content, and other circumstances.
- When changing these Terms, we will announce the changed content, effective date, and other necessary matters by posting on the Service or other appropriate method.
- The changed Terms take effect from the effective date stated in the preceding paragraph.
- Where individual consent is required by law, we will obtain consent by an appropriate method.
Article 29 (No Assignment)
- Users and OEM Companies shall not assign, transfer, pledge, or otherwise dispose of all or part of their status under these Terms or rights and obligations under these Terms to a third party without our prior written consent.
- If we transfer the business related to the Service or conduct a company split, merger, or other organizational restructuring, we may transfer our status, rights and obligations, User information, Listed Information, and other Service-related information to the transferee.
Article 30 (Severability)
If any provision or part of these Terms is held invalid, illegal, or unenforceable by law or court, the remaining provisions and the remaining parts of that provision remain in full force and effect.
Article 31 (Governing Law and Jurisdiction)
- These Terms are governed by and interpreted in accordance with the laws of Japan.
- If a dispute arises between a User or OEM Company and us in connection with the Service, the Tokyo District Court or Tokyo Summary Court shall have exclusive jurisdiction as the court of first instance.
- Even if a translated version of these Terms is prepared, the Japanese version is the controlling version. If there is any conflict or discrepancy between the Japanese version and a translated version, the Japanese version prevails.
